Overview
Randall C. Mathieson's more than 30 years of legal experience, both in private practice and on the corporate side, combined with his work as a senior corporate executive and general counsel for several large international businesses, has provided him with a broad and strategic perspective on legal matters, as well as a detailed familiarity with a wide range of legal disciplines, including corporate and securities, health care, real estate, franchising, employment, mergers and acquisitions, commercial financing, private equity, and venture capital.
Rand’s work in the health care industry includes the organization and structuring of health care enterprises, arranging debt and equity financing for medical ventures, representing clients in regulatory proceedings, resolving disputes among physician-partners, and drafting a variety of employment, compensation, and service agreements. He has represented hospitals, multi-state medical practices, ambulatory surgery centers, and other health care facilities and organizations in connection with their purchase and sale.
Rand joined Pullman & Comley from Fantastic Sams International, a franchise company with more than 1300 locations worldwide, where he was senior vice president and general counsel. Earlier he served as chief operating officer of Cardiopulmonary Corporation, a high-tech medical device company with worldwide distribution, and as general counsel of Carvel Corporation, the international ice cream company. Prior to that, Rand held senior legal and executive positions in the commercial real estate industry, including president of CMC Capital Corp., a real estate investment company whose holdings included more than 12,000 apartments, 1.3 million square feet of office and retail space, hotels, a golf course, and one of the largest condominium development companies in Connecticut.
In addition to his legal and corporate management background, Rand has considerable financial and operations experience, including negotiation and structuring of complex transactions, strategic planning, designing and implementing quality systems, internal investigations, business valuations, and investor relations. At both Carvel Corporation and Fantastic Sams International he served for more than a year as interim chief financial officer in addition to his legal duties. He has been designated an "Accredited Valuation Analyst" by the National Association of Certified Valuators and Analysts.
