LLCs 2.0: Member Disputes & Drafting Tips to Avoid Them

Karen Wackerman, member of the Business and Finance practice, participated in a panel hosted by the Connecticut Bar Association, “LLCs 2.0: Member Disputes & Drafting Tips to Avoid Them.”  

Learn everything you need to know about the new Connecticut Uniform LLC Act through hypothetical examples and case studies. Sample operating agreement provisions were provided as the basis for drafting “dos” and “don’ts,” and the panel made drafting suggestions to mitigate potential disputes.  The program also addressed how best to draft language for governance, distributions, fiduciary duty limitations, judicial resolution of member disputes, and other tools to address commonly recurring LLC issues.

• How to draft better operating agreements and avoid making common drafting errors
