  • Transaction Steps: This roundtable covers the progressive step-by-step process that we follow, from non-disclosure agreement (NDA) negotiation and marketing your business through finalizing documents and closing on the sale.
  • The Pre-Sale Process: Make sure your company’s foundational documents, contracts, and operational structure are all in order before considering a sale. Review your internal compliance with key matters: accounting; employment; environmental; regulatory; tax.
  • The Right Team: Make sure you have surrounded yourself with the right professionals to assure success—deal-experienced accountants and attorneys, valuation consultants, financial intermediaries, and tax advisors. Having the right professionals involved can make the sale smoother and more credible.
  • The Sale Process: Identify your ideal buyer; prepare your non-disclosure agreement (NDA) form; understand your market; familiarize yourself with valuations in your space; then set up your data room.
  • The Due Diligence Process: Prepare for a rigorous quality of earnings (Q of E) analysis, which evaluates the stability and source of your company’s earnings and stress test your company’s underpinnings.
  • The Data Room: Organize all company documents into an electronic data room. Review data room features and familiarize yourself with the capabilities of a modern data room.
  • Negotiating the Purchase Agreement: Stroll through an actual purchase agreement, where Nancy and Andy will highlight important considerations common to the purchase agreement.
