Overview
Joshua S. Smith is an associate in the firm’s Business Organizations and Finance practice. His focus is on assisting businesses in formation, providing services to clients with regard to their merger and acquisition activities and corporate governance, corporate planning and succession, and structuring and negotiating operating agreements and governance documents.
Joshua has a diverse background working with individuals, businesses, and public agencies across several areas of law, including contract drafting and negotiation, environmental law, real estate, land use, civil litigation and appeals, and employment law. This wide-ranging experience allows him to quickly identify and flag key issues during the due diligence process of M&A transactions and help his clients find a speedy resolution to potential problems.
Joshua’s transactional work includes researching, drafting, and reviewing asset purchase and stock purchase agreements as well as related ancillary agreements in M&A transactions. He has also drafted limited liability agreements, shareholder agreements, license agreements, real estate leases, promissory notes and security agreements, and employment contracts. He has worked on a number of middle market M&A transactions, assisting on over half a billion dollars in closings since joining the firm in June 2022.
