Smith will be joined by special guest Michael Carter, Founder and Managing Partner of Carter Morse & Goodrich, on May 14, 2025, for an engaging roundtable for owners building their businesses with an eye toward potential sale.

Michael Carter will kick things off with a discussion of how to unlock your company’s potential value. Attendees will gain an understanding of how companies are valued and gain insights into the key factors that drive (or diminish) value, along with practical strategies to position your company for maximum return when it’s time to sell.

Our attorneys then will cover the progressive step-by-step process that we follow in the sale of a company, from non-disclosure agreement (NDA) negotiation and marketing your business through finalizing documents and closing on the sale. Topics will include:

  • The Pre-Sale Process: Making sure your company’s foundational documents, contracts, and operational structure are all in order before considering a sale. Reviewing your internal compliance with key matters: accounting; employment; environmental; regulatory; tax.
  • The Right Team: Ensuring you have surrounded yourself with the right professionals to assure success—deal-experienced accountants and attorneys, valuation consultants, financial intermediaries, and tax advisors. Having the right professionals involved can make the sale smoother and more credible.
  • The Sale Process: Identifying your ideal buyer; preparing your non-disclosure agreement (NDA) form; then setting up your data room.
  • The Due Diligence Process: Preparing for a rigorous quality of earnings (Q of E) analysis that evaluates the stability and source of your company’s earnings and stress tests your company’s underpinnings.
  • The Data Room: Organizing and reviewing all company documents for disclosure into an electronic data room with the goal to minimize risks to the parties, identify potential issues related to the transaction, and ideally eliminate the need for escrows and indemnification.
  • Negotiating the Purchase Agreement: We will walk through an actual purchase agreement and highlight important considerations common to the purchase agreement.
